ACRE AI - TERMS AND CONDITIONS

2.1 Account Registration

To access certain features of the Services, you must create an account by providing a valid email address and creating a password. You agree to provide accurate, current, and complete information during registration and to keep that information updated.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Acre AI immediately at support@acreai.com if you suspect any unauthorized access to or use of your account. Acre AI will not be liable for any loss or damage arising from your failure to maintain adequate account security.

2.3 One Account Per User

Each user is permitted one account. Creating multiple accounts to circumvent usage limits, access restrictions, or subscription requirements is a violation of these Terms and may result in immediate termination of all associated accounts.

2.4 Account Termination by User

You may close your account at any time by contacting Acre AI at support@acreai.com. Closing your account does not entitle you to a refund of any prepaid subscription fees unless otherwise provided in Section 4.

3.1 Available Plans

Acre AI offers tiered subscription plans as described on the pricing page at acreai.com, currently including Starter, Growth, and Elite plans. Plan details, pricing, and included features are subject to change. Changes to pricing will be communicated to existing subscribers with reasonable advance notice.

3.2 Free Access

Acre AI may offer limited free access to certain features of the Services. Free access does not include all features and is subject to usage limits as described on the platform. Acre AI may modify, restrict, or discontinue free access at any time.

3.3 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are stated in US Dollars. Payment is processed through our third-party payment processor. By providing payment information, you authorize Acre AI to charge you for your selected plan on a recurring basis.

3.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support@acreai.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Services until the end of your paid period.

3.5 Refunds

Subscription fees are generally non-refundable. Acre AI may, at its sole discretion, provide refunds or credits in exceptional circumstances. If you believe you are entitled to a refund, contact support@acreai.com within 7 days of the charge in question.

3.6 Usage Limits

Each subscription plan includes a defined number of property comp searches per month as described on the pricing page. Usage resets on your billing date each month. Unused comps do not carry over to the following month. Exceeding your plan's comp limit may result in restricted access until your next billing cycle or an invitation to upgrade your plan.

3.7 Taxes

You are responsible for all applicable taxes, duties, and levies associated with your purchase of the Services, except for taxes based on Acre AI's net income.

4.1 Acre AI Content

All content, software, data, designs, graphics, text, images, and other materials made available through the Services ("Acre AI Content") are owned by or licensed to Acre AI and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. Acre AI and associated logos and marks are trademarks of Acre AI. Unauthorized use of any Acre AI Content or marks is strictly prohibited.

4.2 License to Users

Subject to these Terms and your compliance with them, Acre AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Acre AI Content solely for your personal or internal business purposes. This license does not permit you to resell, sublicense, redistribute, or commercially exploit any portion of the Services or Acre AI Content.

If you submit any content, feedback, ideas, or other materials to Acre AI through the Services, you grant Acre AI a worldwide, royalty-free, irrevocable, perpetual, sublicensable license to use, reproduce, modify, adapt, and display that content in connection with the Services and Acre AI's business without compensation to you.

5.1 Third-Party Data Sources

The data displayed through the Services is sourced from a combination of publicly available records, third-party data providers, and proprietary data collection methods. Acre AI does not guarantee the accuracy, completeness, timeliness, or fitness for purpose of any data displayed through the Services.

5.2 Not Investment Advice

Nothing in the Services, including market data, parcel data, price per acre figures, market snapshots, comparable sales data, new listings feeds, or any other information provided through the Services, constitutes financial, investment, legal, or tax advice. The data provided is for informational purposes only. You are solely responsible for any investment or financial decisions you make based on information accessed through the Services. Acre AI strongly recommends that you consult qualified professionals before making any real estate investment decisions.

5.3 Not a Licensed Real Estate Broker

Acre AI is a technology platform and is not a licensed real estate broker, agent, or dealer. Acre AI does not represent buyers, sellers, landlords, or tenants in any real estate transaction.

5.4 Data Accuracy

While Acre AI makes reasonable efforts to maintain accurate and current data, property information including listing status, price, parcel boundaries, ownership data, and market metrics may not reflect the most current state of any given property or market. Acre AI disclaims all liability for inaccuracies or omissions in data provided through the Services.

5.5 Parcel Boundary Information

Parcel boundary overlays are provided for informational and reference purposes only and should not be relied upon as a substitute for a professional survey. Acre AI makes no representation as to the legal accuracy of parcel boundary information displayed through the Services.

7.1 Nature of the Feature

The Get Funding feature allows eligible users to submit applications for acquisition capital in connection with identified land deals. This feature is provided subject to separate terms and conditions that govern the funding relationship between the user and Acre AI, which may be an affiliate of Acre AI or a third-party capital provider ("Funding Provider").

7.2 Separate Funding Agreement

By submitting an application through the Get Funding feature, you agree to be bound by a separate Funding Agreement that will be presented to you at the time of application. The Funding Agreement governs all terms of the capital provision, including but not limited to the profit split arrangement, repayment obligations, deal requirements, approved use of funds, and the respective rights and obligations of the user and the Funding Provider. In the event of any conflict between these Terms and the Funding Agreement, the Funding Agreement will govern with respect to the funding relationship.

7.3 No Guarantee of Funding

Submission of a funding application does not guarantee approval. Acre AI and the Funding Provider reserve the right to approve or decline any application at their sole discretion.

7.4 Profit Split

The profit split arrangement applicable to funded deals depends on your active subscription plan at the time the deal is funded, as described on the pricing page. Acre AI reserves the right to modify profit split arrangements for future deals with reasonable advance notice.

7.5 Not a Loan

The acquisition capital provided through the Get Funding feature is not a loan, mortgage, or consumer credit product. It is a deal-specific capital arrangement governed by the Funding Agreement. Nothing in the Get Funding feature or these Terms creates a debtor-creditor relationship between the user and Acre AI.

7.6 No Financial Advice

The Get Funding feature and any associated tools, including deal calculators or profitability estimates, do not constitute financial or investment advice. You are solely responsible for evaluating whether any funded deal is appropriate for your circumstances.

14.1 Termination by You

You may stop using the Services at any time. If you have a paid subscription, you may cancel through your account settings or by contacting support@acreai.com. Cancellation does not entitle you to a refund of any prepaid fees.

14.2 Termination by Acre AI

Acre AI may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, if Acre AI reasonably believes that you have violated these Terms or any applicable law, or if required to do so by law.

14.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5, 6, 11, 12, 13, 16, and 17.

15.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in California for any disputes arising under these Terms that are not subject to arbitration under Section 15.2.

15.2 Informal Dispute Resolution

Before initiating any formal legal proceeding, you agree to contact Acre AI at support@acreai.com and give Acre AI a reasonable opportunity to resolve the dispute informally. This informal process must be attempted for at least thirty (30) days before either party may bring a formal claim.

15.3 Arbitration

Except for claims that qualify for small claims court and claims for injunctive or equitable relief related to intellectual property, all disputes, claims, or controversies arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association in accordance with its rules then in effect. The arbitration will be conducted in California unless the parties agree otherwise. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.4 Class Action Waiver

You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

15.5 Waiver of Jury Trial

To the extent permitted by law, both parties waive their right to a jury trial in connection with any dispute arising under these terms.

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any Funding Agreement you have entered into, constitute the entire agreement between you and Acre AI with respect to the Services and supersede all prior or contemporaneous agreements, communications, and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16.3 Waiver

Acre AI's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision unless acknowledged and agreed to by Acre AI in writing.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Acre AI's prior written consent. Acre AI may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, without your consent.

16.5 Force Majeure

Acre AI will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, labor disputes, or third-party service failures.

16.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Acre AI.

16.7 Headings

Section headings in these Terms are for convenience only and have no legal or contractual effect.
